On December 17, 2007, John M. and/or Marcia A. Nash entered into two twenty-year West End Hangar Ground Leases with the City of Billings, and subsequently built a 7,200 square foot duplex style hangar containing two 3,600 square foot units in the Airport's West End General Aviation area, referred to as Lots 12 and 13. The Nashes opted to sell one-half of this hangar, Unit #2809 on Lot 12, to Hat Creek Hangar Co., LLC. The City Council approved an Assignment and Transfer of the Ground Lease on Lot 12 to Hat Creek Hangar Co., LLC on September 8, 2008. Hat Creek now desires to sell its hangar to Wireless Communications, Inc. The Assignment, Transfer and Amendment One transfers the leasehold interest of Hat Creek to Wireless Communications, Inc., and amends the Lease to update the language of various sections to conform to the language that is now standard for any new lease. Amendment of the Lease as a condition of assigning and transferring is a right of the City allowed by the Lease.  A copy of the Assignment, Transfer and Amendment One is on file in the City Clerk's office.

The City Council may:

• Approve the Assignment, Transfer and Amendment One of West End Hangar Ground Lease from Hat Creek Hangar Co., LLC to Wireless Communications, Inc.; or
• Not approve the Assignment, Transfer and Amendment One of West End Hangar Ground Lease from Hat Creek Hangar Co., LLC to Wireless Communications, Inc.

There is no financial impact from this action. The name on the Lease changes with this Assignment, Transfer and Amendment One. Assignment and transfer is a right allowed by the Lease. The term of the Lease, the rental amount, and the provision for annual rental adjustments remain unchanged. 

Staff recommends that City Council approve the Assignment, Transfer and Amendment One of the West End Hangar Ground Lease from Hat Creek Hangar Co., LLC to Wireless Communications, Inc.
