Approve agreement to transfer approximately $89,100 in Walton Foundation grant funds from Cochise County Flood Control District to The Nature Conservancy to preserve availability of funds specifically for use in designated projects within the Cochise Conservation and Recharge Network; transferred on or about November 30, 2018.

Background:

In 2011, the Walton Family Foundation (“Foundation”) awarded Cochise County a grant of $1,693,265.00.  Specific terms and conditions related to use of the grant funds, as well as timeframes for utilizing the grant funds were detailed within the terms of the grant documents, subject to amendments authorized by the Foundation.  The funds have been utilized in accordance with those terms and conditions, as amended with authorization from the Foundation from time to time.
 
Presently, approximately $231,000 of the original funding remains, with approximately $141,000 of the existing funds to be spent on previously-approved budget items.  There will then be a remaining balance of roughly $89,000.  The Foundation has requested that the County, which has been acting via the Cochise County Flood Control District, use these funds by the end of November 2018 or, alternatively, has approved the County's transfer of the funds to The Nature Conservancy ("TNC") to be held for future use.  Transfer of the remaining $89,000 in funds to the Nature Conservancy will ensure all funds are applied to the purposes originally intended.   
 
If the Board approves this agreement, grant funds previously awarded by the Walton Foundation to Cochise County (which were later directed to and managed by the Cochise County Flood Control District) for use in implementation of the Cochise Conservation and Recharge Network ("CCRN") will be transferred to TNC.  Use of the funds would be strictly confined to the purposes to which they were originally intended--supporting implementation of the CCRN.  This agreement was negotiated per the request of a representative of the Walton Foundation.  Approval of the agreement is appropriate because if the Board does not approve the request, then the funds will likely be withdrawn and may no longer be available for use for their intended purpose.

Finance and procurement will need to work with The Nature Conservancy to transfer the funds. 

Impact of NOT Approving/Alternatives:

If the Board does not approve this agreement, then the remaining $89,109 in grant funds may no longer be available for use to support the CCRN.

This agreement will not impact the County directly, as the funds are sourced from the Walton Foundation and are simply being transferred so they are no longer held by Cochise County, and are instead held by the Nature Conservancy with specific directives as to the use of the funds
