TITLE:

Consideration and Adoption of Resolution No. 2026-13:  A resolution of the City Council of the City of Flagstaff, Arizona, authorizing the execution of the Third Amendment to the Mill Town Development Agreement between the City of Flagstaff and Vintage Partners, LLC, related to the development of approximately 12.29 acres of real property generally located at 1801 S Milton Road and establishing an effective date.

  3. Adopt Resolution No. 2026-13

Executive Summary:

State law allows the City to enter into development agreements by resolution.  The proposed agreement governs the terms and conditions for the development of the real property generally located at 1801 S Milton Road, including affordable housing and sustainability features.

No policy impacts are anticipated with this request.

Previous Council Decision or Community Discussion:

The City Council approved a Zoning Map Amendment, Preliminary Plat, and Development Agreement for the Mill Town project, as part of a public-private partnership (P3), on April 17, 2018.  The P3 project was formalized through a Pre-Development Agreement between Vintage, the City, and the Arizona Department of Transportation in March 2015.  The first amendment to the Development Agreement was approved on October 19, 2021, and the second amendment was approved on March 4, 2025.  The modification to the zoning map amendment was heard by council on April 7, 2026.

Options and Alternatives to Recommended Action:

  1. The City Council may approve the Third Amendment of the Development Agreement as presented.
  2. The City Council may approve the Third Amendment of the Development Agreement with additional, modified, or deleted terms.
  3. The City Council may remand the Third Amendment of the Development Agreement back to staff for additional negotiations with the applicant.
  4. The City Council may deny the Third Amendment of the Development Agreement.
