TITLE:
Consideration and Adoption of Resolution No. 2026-44: A resolution of the Flagstaff City Council, approving the Third Amendment to the Intergovernmental Agreement between the City of Flagstaff and Northern Arizona Intergovernmental Public Transportation Authority ("Mountain Line").

Executive Summary:
This amendment clarifies the ownership and maintenance of the public art, which consists of the art glass (Lion Eyes Through the Forest) and the Southside Grove sculpture, that the City of Flagstaff Beautification funded at the Downtown Connection Center.
Under the IGA, Mountain Line is responsible for the maintenance of the Downtown Connection Center. This amendment changes the primary maintenance responsibility of public art to the City while outlining specific duties each for the City and for Mountain Line. The Beautification, Arts & Sciences program intends to procure and oversee private vendors to do the routine maintenance with an estimated annual budget of $5000 per year.
Mountain Line responsibilities include access to the City for maintenance and requires a point of contact be furnished. For the Southside Grove sculpture, Mountain Line responsibilities include cover-up and notification of graffiti but prohibits removal; prohibits salts or other chemicals for removing ice close to the sculpture and delineates where snow can be moved to. For the art glass, Mountain Line's responsibilities include cover-up and notification of graffiti, but prohibits removal; Mountain Line is also prohibited from cleaning the glass or leaning equipment on the art glass.
The City's Beautification, Arts and Sciences BAS staff undertakes the maintenance of both the Southside Grove sculpture and the art glass, and the snow removal for the Southside Grove sculpture, providing two-week notice and a point of contact to Mountain Line for all work done. Routine maintenance will include snow removal in the sculpture area, power washing of the sculpture, and cleaning the art glass. Within 60 days of the execution of this amendment, and thereafter at the beginning of the fiscal year (July 1), BAS staff will provide an annual maintenance plan to Mountain Line.

Policy Impact:
There is no policy impact. The Beautification, Arts & Sciences program routinely maintains the public art it produces.
Previous Council Decision or Community Discussion:
- Council approved the Intergovernmental Agreement, which was entered into by the City and Mountain Line on May 1, 2023, the First Amendment also dated May 1, 2023, and the Second Amendment dated October 7, 2025.
- Council approved the design contract with the artists on December 1, 2020.
- Council reviewed the art proposals in a work session on January 31, 2023.
- Council approved the fabrication contract for the public art on March 21, 2023.
- Council approved a ratification of the Resource Use and Sharing Agreement with Mountain Line for the supporting costs of construction of the artworks on August 21, 2023.
Options and Alternatives to Recommended Action:
- Council may request changes to the IGA amendment, which may delay implementation of routine maintenance.
- Reject the IGA amendment. This will prevent the Beautification, Arts and Sciences Program from contracting for routine maintenance and addressing damage that may occur to the artwork.
