SUBJECT:
Discussion and direction on the Cobb's Landing Lease Agreement.
SUMMARY:
In August, 2005, the FPRA approved a contract to purchase the Manatiki Restaurant property. The FPRA entered into an Interim Lease Agreement effective December 15, 2005 with Ianco, LLC to operate the restaurant. The term of the interim lease was six months, from January 1, 2006 to June 30, 2006; acknowledging Ianco had been in possession of the premises since November 1, 2005 to prepare the restaurant for opening. During the interim period, Ianco expended $356,373.96 in equipment and upgrades.
In January, 2006, the Procurement Department sought proposals through RFP No. 5587 seeking Lease/Operators for Cobb’s Landing (formerly Manatiki Restaurant). In April, 2006, the Evaluation Committee recommended that the FPRA begin negotiations with the top ranked firm, Ianco, d/b/a Cobb’s Landing.
On April 26, 2006, the FPRA board authorized staff to begin negotiation of a contract with Ianco, LLC. A note in the purchasing files indicates that on May 28, 2008, the City Attorney’s office was still working on the agreement. To date, no final contact has been executed.
The RFP provided that the successful respondent shall be awarded a contract for ten years with two subsequent five-year renewals permissible upon mutual written agreement.
Ianco,LLC has continued to operate in accordance with the terms of the Interim Lease Agreement and are now seeking a final lease agreement for the operation.

RECOMMENDATION:
Staff recommends authorization to resume contract negotiations with top ranked firm, Ianco, d/b/a Cobb’s Landing. Such negotiations should include finalizing the building improvements contained in the initial proposal. The final contract term should remain consistent with the original offer in the RFP; meaning the initial contract term would have expired on June 30, 2016 with two (2) five-year extensions ending June 30, 2021 with a final termination of June 30, 2026.
ALTERNATIVES:
1. Issue a new RFP
2. Prepare an advertisement providing 30 day notice of the intent to lease the property and seeking proposals as required by F.S. 163.380. This would not be a formal RFP process, but simply notice to the public of our intent to enter into a long term lease.
