Approval of First Amendment to the Management Agreement with VenuWorks for the Sunrise Theatre
SUMMARY:
The City of Fort Pierce executed a Management Agreement with VenuWorks on June 1, 2026, for the management and operation of the Sunrise Theatre. As the parties continue transitioning operational responsibilities, several clarifications have been identified to ensure transparency, continuity, and mutual understanding.
The proposed First Amendment to the Management Agreement provides operational clarifications without altering the substantive intent of the original agreement. Specifically, the amendment confirms the following:
These clarifications support a smooth transition from City management to VenuWorks management and reinforce shared expectations regarding financial practices, procurement, staffing, and operational responsibilities.

- Utility accounts for the Sunrise Theatre will remain in the City’s name, and VenuWorks will reimburse the City monthly for utility costs.
- The current Interim Executive Director will remain a City employee during the transition period and will serve as the Project Manager/liaison between the City and VenuWorks.
- VenuWorks must comply with City purchasing and procurement policies for applicable purchases.
- The previously approved $50,000 concession equipment investment process is revised to clarify funding responsibilities, ownership of equipment, amortization, and reimbursement procedures.
These clarifications support a smooth transition from City management to VenuWorks management and reinforce shared expectations regarding financial practices, procurement, staffing, and operational responsibilities.
RECOMMENDATION:
Approve the First Amendment to the Management Agreement with VenuWorks.

OTHER INFORMATION:
The First Amendment does not create new financial obligations for the City. Utility costs remain the responsibility of the City but will be reimbursed monthly by VenuWorks, consistent with existing operational practices. The Interim Executive Director’s continued role as a City employee does not increase personnel expenses beyond current budgeted amounts. Clarifications related to procurement compliance and concession equipment investment do not introduce new costs, but instead refine existing processes regarding ownership, amortization, and reimbursement. Overall, the amendment is fiscal-neutral and is intended to support transparency and operational alignment.
