SUBJECT: ADOPTION OF RESOLUTION AUTHORIZING THE EXCHANGE OF REAL PROPERTY AND LAND EXCHANGE AGREEMENT WITH GSA SEDELLA L.L.C.

SUMMARY

The City currently has vacant property along Indian School Road adjacent to the Sedella development that is designated for a future fire station (Fire Station 189) to support the Sedella community.  The city of Goodyear intends to exchange land with the adjacent property owner, GSA Sedella L.L.C., that is a more favorable site along Citrus Road that provides improved right-of-way access for Fire Department operations. RECOMMENDATION

ADOPT RESOLUTION NO. 2025-2484 APPROVING THE EXCHANGE OF REAL PROPERTY FOR A FIRE STATION AND THE LAND EXCHANGE AGREEMENT FOR THE EXCHANGE. (Kimberly Romero, Real Estate Supervisor)

FISCAL IMPACT

This land exchange will have no impact on the fiscal budget or revenue. GSA Sedella L.L.C., is responsible for all title and escrow fees associated with this exchange. 

BACKGROUND AND PREVIOUS ACTIONS

The city acquired approximately 2.4 acres of vacant land generally located adjacent to the northern boundary of West Indian School Road, approximately 785 feet west of North Citrus Road, by a certain Special Warranty Deed, recorded in the official records of Maricopa County as Instrument No. 2012-0789980 (the “City Property”). The City Property was acquired for the future development of a fire station. Access to the City Property is off of West Indian School Road. The City Property is surrounded by property owned by GSA Sedella L.L.C., which has plans to develop its property and proposed a land swap to the City for its future fire station. Goodyear Fire Department staff determined that having the fire station with access off of North Citrus Road was more desirable than the West Indian School Road access for the City Property. GSA Sedella L.L.C., is willing to exchange a portion of its property comparable in size to the City Property that would allow the development of the future fire station with access off of North Citrus Road. 

City and GSA Sedella L.L.C., representatives have negotiated an agreement to exchange like-kind property. Under the terms of the agreement, the city will convey the City Property (approximately 2.4 acres) to GSA Sedella L.L.C., and GSA Sedella L.L.C., will convey approximately 2.55 acres of its property to the City. The property being conveyed to the City is located adjacent to the west side of North Citrus Road and the northern boundary of the property being conveyed is approximately 1100 feet north of West Indian School Road. GSA Sedella L.L.C., has agreed to pay all closing costs associated with this transaction, including the cost of the Title Policy to be issued to the city insuring the title of the property being conveyed to the city. 

STAFF ANALYSIS

The property being exchanged is of comparable size with the city conveying approximately 2.4 acres in exchange for an approximate 2.55-acre parcel. The exchange requires no expenditure on the part of the city and will have no impact on the city's fiscal budget. The land exchange will allow the fire station greater functional advantages.

City staff recommends Council adopt Resolution No. 2025-2484 included as Attachment A - Resolution No. 2025-2484 with Exhibit A, and authorize the City Manager or designee to take all actions and execute all documents needed to complete the exchange.
