SUBJECT: RESOLUTION APPROVING REGIONAL PARKING GARAGE DEVELOPMENT AGREEMENT

SUMMARY

Approve Development Agreement with RG Land Partners, LLC (“RGLP”) for a Regional Parking Garage located at Goodyear Civic Square (“GSQ”).

ADOPT RESOLUTION NO. 2026-2518 APPROVING THE DEVELOPMENT AGREEMENT WITH RG LAND PARTNERS, LLC., FOR THE DESIGN, CONSTRUCTION, OPERATION, AND MAINTENANCE OF A REGIONAL PARKING GARAGE, POLICE SUBSTATION, AND PUBLIC OPEN SPACE AMENITIES WITHIN GOODYEAR CIVIC SQUARE. FISCAL IMPACT

The city will be committing a maximum of $22,000,000 to this development agreement in support of the regional parking garage project. Funding to fulfill the financial obligations of this development agreement is included in the fiscal year (FY) 2027 budget, scheduled for tentative adoption by Council on May 18, 2026. Budget amendments are authorized in the Resolution approving the development agreement to allow for payments in advance of the effective date of the FY2027 budget.

BACKGROUND AND PREVIOUS ACTIONS

Goodyear Civic Square ("GSQ") is a mixed-use development in the City of Goodyear, Arizona consisting of approximately 150 acres. It is being designed to become the city’s premier cultural and lifestyle destination. In support of this vision, the Council approved relocating the future city hall, which was to have been located on the former City Center site, to GSQ and hired the owner/developer of GSQ to design and construct the city's new city hall, state-of-the-art library, and a two-acre public park. This project resulted in the private development of GEN1, a class A 3-story office building consisting of over 103,630 rentable square footage located to the north of city hall, and a 4-story parking garage with more than 900 spaces, which provides parking for city hall employees and visitors. 

The city subsequently purchased the 4-story parking garage, which led to the private development of a second office building to the south of city hall, which houses the Banner Health Center, a 3-story garage with more than 500 parking spaces, and the upcoming development of a hotel. To support the city's vision of GSQ as a gathering place for its residents for events such as festivals, concerts and parades and the continued development of retail and commercial development, city staff is recommending the city facilitate the design and construction of a publicly-owned regional parking garage containing approximately 600 parking spaces, together with a police substation and public open space within GSQ.

STAFF ANALYSIS

Under the terms of the proposed development agreement, RGLP will:
  • design and construct a parking garage with approximately 600 parking spaces, (the garage will be developed with as many spaces as can be developed within the maximum amount reflected below);
  • design and construct an approximately 1,500 square-foot shell for a police substation that will be plumbed for utilities (plumbing, electrical, and HVAC) with appurtenances including parking facilities;
  • design and construct public open space amenities;
  • convey to the city, at no cost, the land for the parking garage and police substation; and 
  • convey to the city, at no cost, a public open space access easement to the area where the public open space amenities being constructed will be located.
Under the terms of the proposed development agreement, the City will:
  • reimburse RGLP for the costs incurred in the design and construction of the parking garage up to a maximum of $20,000,000, including a 3% management fee;
  • reimburse RGLP for the costs incurred in the design and construction of the police substation improvements up to $1,000,000, including a 3% management fee;
  • reimburse RGLP for 50% of the costs incurred in the design and construction of the public open space amenities up to $1,000,000, including a 3% management fee; and  
  • based on the number of spaces within the finished parking garage, allow for a number of spaces within the parking garage to be counted towards the minimum number of parking spaces required under applicable laws for the development of surrounding private parcels, subject to specific limitations as to the type of development.
RGLP formed a property owner's association (POA), and the proposed development agreement includes a requirement for the POA to pay 50% of the costs of maintaining the parking garage, to which the POA has consented.

Staff supports the proposed development agreement because it supports the city's vision of GSQ as a gathering place for its residents and visitors for events such as festivals, concerts, parades, and the city's desire for the continued development of retail and commercial development in GSQ by providing additional parking needed for such purposes and providing for a police presence. Resolution No. 2026-2518 is included as Attachment A.
