RECOMMENDATION:
That the City Council approve a long-term lease agreement with iTennis, Inc. to operate the La Habra Tennis Center.
DISCUSSION:
In July 2017, the City Council approved a lease for the management and operation of the City-owned La Habra Tennis Center facility at Portola Park to iTennis, Inc. following the previous operator's release of their lease. The lease with iTennis, Inc. among other things, required the contractor to be responsible for all:
- Maintenance, repair, upkeep of the facility;
- Utilities, including water, gas, electricity, trash, telephone;
- Property taxes; and
- All costs and expenses that are associated with the use and operations of the Facility.
Under the current lease, the City remains responsible for the maintenance of driveways, parking and landscaped areas. The lease set a rental rate for the facility at $3,000 per month for August 2017 and then, in 2019, increased to $3,500 on a month-to-month basis to date.
The City-owned Tennis Center facility is located at the City's 10-acre Portola Park site on Euclid Street. The park site includes a number of distinct public facilities and uses, including:

- The La Habra Tennis Center (tennis and pickleball courts, a pro shop, and locker facilities);
- General use park space with picnic benches and grass, regularly used by the City for many public events and activities;
- A playground;
- Three baseball fields are utilized annually by La Habra City Little League;
- Two Child Development Preschool and School Age Learning Centers;
- The Depot Theater (a 131 - seat community theater);
- The Children's Museum at La Habra (a 16,000-foot museum); and
- General parking for 138 vehicles.
Portola Park is, by far, one of the City's most heavily utilized facilities and serves as the current location of the City's summer concerts and movies in the park, the annual Tamale Festival, the Police Department's National Night Out event, the back-to-school backpack giveaway, multiple Children's Museum special events, and most recently, the La Habra Host Lions Club Corn Festival, in addition to the La Habra City Little League's games and practices and the City's Child Development's daily programs for preschool and school-age children. Portola Park also serves as overflow parking for Brio Park across the street, which is heavily utilized during the summer months when the City's splash pad is in operation. Portola Park has hundreds of visitors using various facilities each day, all of whom share the common 138-space parking lot, which is often fully utilized, making it difficult for each distinct function at the park to concurrently operate at full capacity.
At its Regular Meeting of December 2, 2024, City Council authorized staff to negotiate a long-term lease agreement with iTennis, Inc. with the goal of providing the City with an improved level of community benefits and lease revenue for City Council review and approval. Community Services Department staff met with the owners of iTennis, Inc. to better understand their lease request and capital improvement plans, and to communicate the City's desire to provide the best partnership possible for the benefit of the La Habra community. iTennis, Inc. has created a growing pickleball presence at the facility, along with a sustained tennis program, has consistently paid their monthly lease on time, and has made attempts to increase the number of La Habra residents using the facility. Staff have indicated an expectation that any leaseholder of this facility should be more community-friendly in providing options for La Habra residents, such as resident discounts, cooperative play agreements with the Recreation Division for La Habra senior citizens, allowances for community organizations and local school programs to use the facility, and improved coordination with the City regarding the joint uses that regularly occur at Portola Park. iTennis, Inc. management staff have acknowledged staff's focus and concerns and has indicated a willingness to accept adding provisions such as these to an extended contract. iTennis, Inc. is aware of staff concerns regarding the limited parking at Portola Park and has indicated a willingness to incorporate certain 'closed days' as part of the new lease agreement.
City staff propose entering into a long-term lease agreement for an initial five-year term, with three additional five-year terms, not to exceed 20 years, with iTennis with the following conditions as outlined in Exhibit A:

The operator shall provide the following minimum services:

- Operate the La Habra Tennis Center within the hours of 7 a.m. - 10 p.m. during summer and 8 a.m. - 10 p.m. during the remainder of the year.
- Provide overall program and facility oversight and operation at the La Habra Tennis Center.
- Provide services that are affordable to the community, including scholarships and fee-assistance programs for low-income youth.
- Offer a 10% discount to La Habra residents.
- Close facility up to ten (10) days with advance notice for City or Community events, including but not limited to Tamale Festival, Corn Festival, Children's Museum activities, La Habra Depot Theater, Little League Opening Day, Love La Habra and City events.
- Offer at least 10 hours a week for mutually agreed upon times and days for Seniors and Youth programming at a free or reduced cost. Some programming may be offered by City recreation staff.
- Provide a schedule of prices for all goods and services offered at the La Habra Tennis Center. All prices charged for goods and/or services supplied to the public on or from the premises must be fair and reasonable.
- Provide appropriate levels of supervision with staff who are live scan fingerprinted through the Department of Justice, adequately trained and certified to teach and work in tennis environments.
- Enforce and follow City and County rules and regulations.
- Regulate the play and conduct of players and spectators on leased property and adjacent parking lots.
- Supervise the La Habra Tennis Center, preserve order and provide security for the Center, prevent damage to the Center by players and others.
- Inspect and provide general maintenance and upkeep of the La Habra Tennis Center, which includes building, grounds and courts.
- Provide private and/or group lessons and instruction in tennis and pickleball and all services customarily provided by a certified tennis or pickleball professional, either by the Operator personally or by qualified employees or subcontractors.
- Schedule tournaments in advance with approval from the City for events with 100 or more players and spectators. A Special Event application is required to be completed at least 90 days in advance for activities outside regular operations including food trucks, vendors, music, amplified sound and alcohol. Failure to obtain advance approval from the City for events with at least 100 attendees is subject to penalties as outlined in the Special Event application and approval letter.
- Agree to shared parking lot usage.
- Properly dispose of trash in designated bins.
- Develop and implement a marketing outreach plan for the La Habra community.
- Demonstrate administrative capabilities and experience to support the programs offered and provide data collection, tracking and ongoing evaluation and reporting on an annual basis as required.
- Meet with City administration on a quarterly basis at the La Habra Tennis Center to provide timely updates.
- Be available to meet with City staff at all reasonable times.
- Donate money, gift cards and/or toys valued at $2,500 to the annual Holiday Wishes Program in December.
RECORDS MANAGEMENT:
- Maintain a written schedule of operating hours and procedures for the Tennis Center. Changes to the schedule require the City's prior written approval.
- The operator shall keep and maintain records of its operations under this Agreement in accordance with generally accepted accounting principles and satisfactory to the City auditor.
- Provide a quarterly report with membership fees, court rentals, instructor fees, tournament fees, pro shop sales, class fees, and maintenance records if requested by the City.
SUBCONTRACTORS:
- The operator shall not subcontract any portion of the work required by the contract without the prior written approval of the City.
CAPITAL INVESTMENTS:
- The La Habra Tennis Center is currently in adequate condition to provide Tennis Center operations and the Operator shall be financially responsible for any tenant improvements. Any tenant improvements constituting a "public works project" within the definition of California State law and La Habra Municipal Code, shall be subject to the City's competitive bid process and the payment of prevailing wages.
- All Operator's proposed capital/tenant improvements shall be submitted to, and approved by, the City prior to the Operator starting work. Submittal shall be in writing and/or drawing fully and clearly describing the proposed improvement. The operator shall be solely responsible for obtaining all required permits for the proposed improvement.
- The Operator shall, at its own expense and not subject to reimbursement, complete the following improvements prior to, or within two (2) years of, the full execution of this Agreement:
- Resurface all tennis courts
- Upgrade current lighting to LED lighting
- Adhere to City inspections
The new multi-year agreement will provide iTennis, Inc. the necessary time to recover the costs of these significant investments while ensuring the La Habra Tennis Center remains in optimal condition for the community. Their continued operation will maintain the quality and accessibility of pickleball and tennis programs for La Habra residents, fostering both recreation and community engagement.
FISCAL IMPACT/SOURCE OF FUNDING:
The long-term lease agreement will generate a steady revenue stream over the next twenty years.
Years 1–5 ($5,500 per month x 12 months x 5 years) = $330,000
Years 6–10 ($6,500 per month x 12 months x 5 years) = $390,000
Years 11 - 20 ($6,500 + annual CPI x 12 months x 5 years) = To be determined
iTennis, Inc. is committed to making capital improvements to resurface the tennis courts ($77,000) and replace lighting with LED lighting ($148,000) for a total investment of $225,000 within the first two years of the agreement.
