ITEM:
Discussion and possible action on any and all matters regarding review of the San Luis Facility Development Corporation by-laws, including but not limited to the conflicting provisions section 3.03 and 4.04. (Kay Marion Macuil, Corporation Attorney)
SUMMARY:
The by-laws have conflicting provisions on vacancy. In section 3.03 it says that City Council fills vacancies. In section 4.04 it allows a majority of the Corporation's Directors to fill a vacancy. Since 4.04 is more specific as to the reasons for vacancies, legal counsel interpreted that 4.04 was the intended section. However, legal counsel takes no position as to which conflicting provision the Board would like to remove.
