ITEM:

Discussion and possible action on any and all matters regarding approval of the 5th Amendment and Restatement of Greater Yuma Port Authority's Bylaws.  (Kay Marion Macuil, City Attorney)

SUMMARY:

The Greater Yuma Port Authority ("GYPA") is an organization whose members currently consist of the City of San Luis, Yuma County, the City of Yuma, and the Sovereign Nation of the Cocopah.

The Greater Yuma Port Authority is requesting approval of the Fifth Amendment and Restatement to the organization's bylaws, which consolidates all amendments into a single document.  It also modified Section 4.3, which said:  "A Member may appoint two (2) persons to serve on the Board of Directors, one of whom shall be from the business/private community and not an employee or elected official of any member." The Fifth Amendment changes the appointment to allow the second person appointed by the member entities may be from within the member's organization or outside it.

RECOMMENDATION / SUGGESTED MOTION:

I MOVE TO APPROVE THE 5th AMENDMENT AND RESTATEMENT OF THE GREATER YUMA PORT AUTHORITY BYLAWS.
