ITEM:

Discussion and possible action on any and all matters regarding the removal of the appointed directors to the Greater Yuma Port Authority and the appointment of replacement directors.  (Jenny Torres, Acting City Manager)

SUMMARY:

The Greater Yuma Port Authority (GYPA) is composed of the member entities of the City of San Luis, Yuma County, the Cocopah Nation, and the City of Yuma. Each member entity appoints two (2) directors to the Board.

Removal
Under the GYPA's Articles of Incorporation, Article VII, a director may be removed by his or her appointing member at any time, with or without cause.

Appointment
Since the initial writing of this Agenda Item, it was discovered that the bylaws were amended.  The City of San Luis approved the amendment on May 30, 2018. With the amendment, the rules for who is eligible to be appointed to the GYPA changed.  Under the GYPA's 5th Amended Bylaws, Section 4.3, one (1) director shall be an elected official or employee of the City of San Luis, and the other director may be part of the City of San Luis or an outside person.

RECOMMENDATION / SUGGESTED MOTION:

A. I MOVE TO REMOVE GREATER YUMA PORT AUTHORITY BOARD DIRECTOR FRANK RASCON FROM THE GREATER YUMA PORT AUTHORITY BOARD.

B.  I MOVE TO APPOINT MAYOR NIEVES RIEDEL TO THE GREATER YUMA PORT AUTHORITY BOARD AS A DIRECTOR.
