Title
Purpose/Background:
Consider approving the attached resolution which outlines multiple actions related to the proposed Stone Brook Academy and Childcare Center (MK Johnson Properties LLC). For the sake of simplicity, staff is wrapping all six actions into one resolution, and one case (rather than six separate cases).
(2) Approve the attached right-of-re-entry agreement. Per the attached purchase agreement for city-owned land, the buyer must enter into a right-of-re-entry agreement. This is a "performance" agreement that will be recorded against the new Stone Brook Academy Inc.(MK Johnson Properties, LLC) property. It will require the construction of the proposed 9,100 square foot facility by September 1, 2018. This agreement also outlines default provisions.
(3) Pass a resolution formally authorizing the sale of city-owned land. As required by the Anoka County Recorder's Office, the city must pass resolution authorizing the sale of city-owned land. This is purely administrative. The city has already approved a purchase agreement outlining this action, and previously an ordinance.
(4) Pass a resolution formally authorizing the cost-share for Yolite Street. As outlined in the attached purchase agreement, the developer will be constructing the proposed public roadway as part of their project (known as Yolite Street today). The City of Ramsey has agreed to reimburse the developer for 80% of costs associated with said construction project. As part of the financial underwriting for the overall project, the SBA is asking for a resolution from the City of Ramsey outlining this item specifically.
(5) Approve the attached purchase agreement amendment. As anticipated in the original purchase agreement, the buyer will/is reassigning this project to a new entity (MK Johnson Holdings LLC). This is a simple reassignment amendment. No other changes made.
(6) Authorize EDA Loan and approve the attached loan documents. Consider Request for use of EDA Revolving Loan Fund (RLF). $100,000 EDA loan amount, 4.24% of total project costs ($2.36M total costs), 15-year term, 3% interest, with land/building as collateral, and a personal guarantee. This loan request generally meets the city's policy requirements, has been underwritten by the City's loan consultant (cmdcbusinessloans.com), and has been reviewed by the Ramsey EDA. Both CMDC and the Ramsey EDA recommend approval. Please see observations section for details on the EDA Loan.
BACKGROUND
The business is Stone Brook Children's Academy Inc. (MK Johnson Properties LLC). The City approved a purchase agreement with Stone Brook Children's Academy on March 15, 2017. Said agreement is set to close by August 15, 2017. They are proposing the construction of a new 9,100 square foot children's academy/ childcare center in The COR, located on a roughly 0.85-acre city-owned property. Stone Brook is currently near the finish line with the "entitlement process" (site plan and plat). The last major hurdle for Stone Brook is closing out financing approval (i.e. City of Ramsey and SBA).

INTRODUCTION
The intent of the EDA RLF program is to provide gap financing in situations in which conventional/ normal financing is not available for small/ medium sized businesses, to make good projects "GO."
APPLICANT/ BUSINESS
Please see emailed credit analysis/ underwriting was completed by Mike Mulrooney of the Central Minnesota Development Corporation (CMDC) for detailed information. Below is a summary. If the Council has specific questions/ concerns regarding the credit analysis, please contact staff before the meeting (we would like to avoid discussing personal financial information in an open meeting as much as possible). Also, if you would like to personally review detailed financials, please contact staff--we will arrange for you to meet with CMDC before the EDA meeting. NOTE: staff does not possess detailed financial statements in-house (intentionally).

(9) Policy Goals: job creation occurring at 15-20 jobs, and tax base creation at estimated $1.75M (estimated $37K per year in total annual property taxes). This project doesn't need to establish job wage goals ($150,000 loan is the threshold).
(10) Personal Credit History: appears to be good
(11) Personal Assets: appear to be good
(12) Debt Coverage: appears to be good (1.9 yr 1, and 2.2 yr 2), plus owners will retain full time jobs to begin.
(13) Owner Equity: sufficient (greater than 10%)

Recommendation:
The attached resolution covers the six (6) items outlined in the background section of this case. Items #1 through #5 are administrative in nature, and are consistent with past approvals (purchase agreement). With this resolution, we are simply formalizing said actions (Items #1 through #5). Item #6 has been reviewed by the EDA and CMDC and both have recommended approval. Attached are draft EDA minutes.
Action:
Authorizing the sale of city-owned land, a right of re-entry agreement, a right-of-entry agreement, a purchase agreement amendment, a cost-share arrangement for Yolite Street, and the approval of a $100,000 EDA Loan; for the proposed Stone Brook Children's Academy and Childcare Center.
