SUMMARY/BACKGROUND:
The Town of Prescott Valley has previously entered into an agreement (December 19, 1999) granting a right-of-first-refusal to Allynx Corp. to lease certain Town facilities for purposes of entering into subleases with wireless telecommunications providers. Allynx has had considerable experience in the location of such telecommunications facilities, and originally assisted Prescott Valley, Prescott, Chino Valley, and Yavapai County develop a joint telecommunications plan in response to new federal law. The joint telecommunications plan encourages such facilities to be located on various public structures (e.g., water tanks, light poles, etc.) where possible.
Cellular customers in the ViewPoint/Pronghom Ranch area have complained for some time that their service coverage is inadequate. Several years ago, AT&T proposed placing a new standalone facility in Pronghorn Park (disguised as a water tank). However, opposition at the time from nearby residents (after a neighborhood meeting) caused AT&T to look at other options. Unfortunately, none of those other options have proven viable. In April 2026, AT&T again proposed a facility in Pronghorn Park and held another neighborhood meeting (after notice) on August 11, 2026 in accordance with Town Code 13-08-070(C). The Parks, Arts, and Recreation Commission also considered the proposed location at its meeting on September 8, 2026.
This proposal by AT&T involves locating the telecommunications facility on the topmost section of a sports field lighting pole at the existing location at the north-east corner of the softball field. The existing pole would be replaced to accommodate both the antenna and the sports field lighting (80-foot monopole) so the playing field lights would not be affected. The associated accessory equipment structure would be constructed between the soccer and softball fields. All costs associated with the project would be covered by AT&T.
The proposed Lease between the Town and Allynx (and the Sublease between Allynx and AT&T) typically have similar provisions. The Lease with the Town is for an initial term of 5 years (with 6 extension options of 5 years apiece if Allynx and AT&T are not in default). AT&T is not required to pay Allynx (or Allynx to pay the Town) until the facility is constructed (and considerable time is given to AT&T to decide if and when it will construct the facility). Once payments begin, they are subject to increase over time.
[Note: Town Code 2-02-040(D) requires the Mayor to execute and authenticate by his signature any instruments conveying or acknowledging conveyance of Town real property interests. It is therefore proposed that the Mayor be authorized to sign the Lease between the Town and Allynx for the Pronghorn Park Lightpole Telecom Facility.

RECOMMENDED MOTION:
Motion to authorize the Mayor to sign a Lease Agreement between the Town and Allynx Corp. for the purpose of locating a telecommunications facility with AT&T on an existing sports field lighting pole at Pronghorn Park. VOTE.
STAFF RECOMMENDATION:
Staff recommends authorizing signature of the Lease Agreement with Allynx for the purpose of locating a telecommunications facility on an existing sports field lighting pole at Pronghorn Park.
FISCAL ANALYSIS:
During the Initial Term (60 months) Allynx will pay rent to the Town of $1,826.00 per month. During each additional Term thereafter, rent shall be increased by 15%. If Allynx subleases any portion of the Site to another provider, the rent shall be increased by 50% for each new sublessee. Within 60 days after execution of the Sublease, AT&T shall pay $15,000 to Allynx (for payment to the Town).
