Discuss, consider and take appropriate action on approving agreement with Vector Solutions for TargetSolutions Training Software in the amount of $1,000, exempting this from the standard Williamson County Terms and Conditions, and authorizing execution of the agreement.

The vendor has not agreed to a termination-for-convenience or Audit clause as recommended by Legal and Audit; e.g., 1) vendor is not willing to deviate from their standard contract language because they offer a SaaS (software as a service). Their contracts are paid annually in advance and their clients have access to the entire platform immediately, essentially someone could complete all the necessary training in a given set of months and then decide they do not want to pay for the rest of the year. Due to the size of the agreement and what is being asked within the Audit clause, the potential cost to TargetSolutions would far outweigh the value of the agreement; 2) the dollar amount here is only $1,000 a year for a 3-year commitment; and 3) there appears to be no significant risks or liability exposure related to this contract upon review by legal and audit.
