Discuss, consider and take appropriate action regarding approval of the proposed Access Agreement between the Sheriff's Department and  Hit + Run Creative, Inc.

Background

Summary of the Terms of the Access Agreement: The proposed Access Agreement is for purposes of allowing access to premises and personnel of the Williamson County Sheriff’s Department by a filming and recording Producer for filming of a development project that will film/record certain activities of Department officers engaging in detective work or other law enforcement activities.
            The contract term is 2 years and may be extended for 1 year; but the contract may be terminated without cause on 10 days’ notice.
            The contract restricts access to prearranged times and allows for suspension of access due to operational concerns and requirements. The Producer separately obtains consent of Department personnel for filming.
            The Producer agrees to obtain liability insurance in minimum occurrence amounts of 1 million and agrees to indemnify the County and the Sheriff’s Department.
            Right of Review: The Department has a 5-day period, extendable to 7 days, in which to object to any factual inaccuracy and upon such objection the Producer is obligated to meet and consult with the Department in an attempt to resolve issues; but the Producer maintains final editorial control. During the same time period, the Department may object to defamatory or obscene content or inclusion of confidential information and the Producer is obligated to delete or obscure or otherwise edit such content. If there is no objection in the review period or prior to delivery of filmed footage to the Network, then the material is deemed approved and there is no obligation to edit footage after delivery to the Network.
            The Agreement grants the right to Producer to use the filmed material and any Dept. logos or Dept. images in perpetuity.
            Remedies for any breach by Producer is limited to monetary damages (no injunctive relief is allowed under the contract).
