Discuss, consider and take appropriate action on a Letter of Termination between Williamson County and DM Medical Billings, LLC to invoke mutual termination for RFP #T2147, effective at the close of business on March 19, 2022, pursuant to Section 4.2 of the Billing and Accounts Receivable Service Agreement for Third Party Billing for EMS Services and providing for a run out period for up to 120 days in accordance with Section 4.6 of the agreement to allow Williamson County EMS to procure a new service provider.
Background
Although EMS has used the service provider for many years through multiple contract cycles, the company has recently lost key personnel and is experiencing significant performance issues. DM Medical Billing LLC has asked to invoke a mutual termination pursuant to the contract to release all parties and assist in good faith with a run out of the agreement while EMS works to procure a new service provider going forward. The proposed mutual termination letter will place an obligation of good faith on the service company.
