Approve mutual termination of Agreement No. 09-27 with Kemper Sports Management Inc. regarding the operation and maintenance of the Wild Wings golf course, effective December 31, 2022.

On March 10, 2009, the Yolo County Board of Supervisors approved a five-year agreement with Kemper Sports Management, Inc. (Kemper Sports) to operate and maintain the Wild Wings Golf Course for the period of March 19, 2009, through March 19, 2014 ("Management Agreement"). The County has approved several amendments to the Management Agreement over the years (e.g., Agreement Nos. 11-185, 14-23, 19-34), primarily to extend the term of the Agreement.  As most recently amended, the Management Agreement would expire on March 19, 2024 unless earlier terminated by the parties.  

Proposed Mutual Termination of Agreement
Staff is recommending the Board of Supervisors approve a Mutual Termination of the Management Agreement, which is provided as Attachment A.  The Management Agreement authorizes termination of the Management Agreement under various circumstances, including a mutual termination by both the Wild Wings CSA and Kemper Sports.  Due to the shift in golf play industry-wide, increasing operating costs, the challenging conditions of the greens and the adequate staffing of the Wild Wings golf course, County staff, on behalf of the Wild Wings CSA, and Kemper Sports have negotiated a mutual termination of the Management Agreement that is beneficial to both parties and will not result in payment of an early termination payment.  If approved, the Mutual Termination would be effective December 31, 2022. Kemper Sports will continue to provide management services as outlined in the Mutual Termination and budget attached thereto through December 31, 2022. Further cooperative discussions have also been on-going with Kemper Sports to facilitate a smooth transition.

Next Steps
Staff is exploring other options for operating and maintaining the Wild Wings Golf Course following termination of the Management Agreement and will be working on a request for proposals for management services or a lease of the Wild Wings golf course.

Competitive Bid Process
Agreement 09-27 was the result of an RFP for golf course management services for the Wild Wings Golf Course in 2008/2009; preparation of a new RFP for services will commence in the near future.
