Subject

Approve agreements with the Yolo Fliers Club (operation and maintenance consultant, $33,000) and Express Services, Inc. (personnel staffing, $302,400) for services related to the operation and maintenance of the Wild Wings Golf Course; ratify agreements with Michael Facciuto (greens maintenances consultant, $65,000) and Tim Pulley (pro shop services, $34,000) related to the Wild Wings Golf Course; and direct staff to evaluate whether additional accounting-related assistance should be provided to the Wild Wings Golf Course during Fiscal Year 2024-2025; if additional assistance is merited and if budget allows, authorize the CSA Administration Team to hire accounting extra-help; and delegate authority to the CAO or the CAO's designee to approve amendments to the foregoing agreements so long as the "not to exceed" amount of each agreement is not increased and County Counsel's office approves as to form. Recommended Action

  1. Approve agreement with Yolo Fliers Club for consulting services related to the operation and maintenance of the Wild Wings Golf Course through June 30, 2025, in an amount not to exceed $33,000 (Attachment B);
     
  2. Approve agreement with Express Services, Inc. for personnel staffing related to the operation and maintenance of the Wild Wings Golf Course through June 30, 2025, in an amount not to exceed $302,400 (Attachment C);
     
  3. Ratify agreements with Michael Facciuto (Attachment D - not to exceed $65,000) and Tim Pulley (Attachment E - not to exceed $34,000) related to the operation and maintenance of the Wild Wings Golf Course through June 30, 2025; 
     
  4. Direct staff to evaluate whether additional accounting-related assistance should be provided to the Wild Wings Golf Course during Fiscal Year 2024-25; and if additional assistance is merited and if budget allows, authorize the CSA Administration Team to hire accounting extra-help; and 
     
  5. Delegate authority to the County Administrative Officer (CAO) or the CAO's designee to amend the foregoing contracts, including authority to revise the scope of services or the staffing levels, so long as the "not to exceed" amounts of the contracts are not increased and County Counsel's Office approves such amendments as to form.

Reason for Recommended Action/Background

The Wild Wings County Service Area (CSA) Golf Course is the only County-owned and managed golf course.  For the past few years, the Wild Wings Golf Course has struggled to secure a consistent operator, leading to various administrative, operational, and financial challenges for the County and the CSA community. 

Most recently, in February 2024, the Wild Wings Golf Course entered into contracts with the Yolo Fliers Club and Michael Facciuto (DBA California Rebel) for services related to the operation and maintenance of the Wild Wings Golf Course.  The intent was for these services to be short-term, pending the County pursuing a Request for Proposals for a full-service operator.  During this interim period, Yolo Fliers Club and Mr. Facciuto would focus on managing the greens, and the golf course pro shop would be staffed with County extra-help employees.  While initially, this interim solution was envisioned to last only about 2-3 months, due to the circumstances detailed below, the interim plan has been in place for approximately nine months.  County staff are now in a position to transition this interim design to a more stable structure, as outlined below.

On April 23, 2024, the County posted a Request for Proposals for full-service management of the Wild Wings Golf Course.  No proposals were received by the initial deadline of May 22, 2024, and the County extended the deadline for submissions by two weeks.  After the close of the extended deadline on June 5, 2024, the County received only one proposal, from the Yolo Fliers Club (the "Proposal").  The Proposal is included herein as Attachment A.  County staff and a CSA resident unaffiliated with either the County or the Yolo Fliers Club reviewed and evaluated the Proposal and submitted feedback to the County Procurement department.  County Procurement subsequently issued an Intent to Award to Yolo Fliers Club on July 3, 2024.  After the five-day protest period expired on July 10, 2024, and no protests were received, the CSA Manager and County Counsel reviewed the Proposal and began negotiating with Fliers Clubs over the contract for the management of the Wild Wings Golf Course.  

Around the same time in July 2024, the Wild Wings County Service Area was undergoing a Proposition 218 proceeding which would have affected the Wild Wings Golf Course fund.  In particular, the golf course fund would have had a lower annual water payment; and Measure O special tax revenue would have been lower.  The Yolo Fliers Club Proposal contained budgets based on both (1) the passing of Proposition 218; or alternatively (2) successful protest of the Proposition 218.  After the Proposition 218 received a valid majority protest and therefore did not pass, in August 2024, the CSA Administration Team (the CSA Manager and CSA Fiscal staff) reviewed the Proposal with the goal of tightening the golf course budget for Fiscal Year 2024-2025.

The Proposal was also presented to the Wild Wings CSA Advisory Committee at their August 7, 2024, meeting and again at their October 2, 2024, meeting.  The CSA Manager solicited feedback on the Proposal, as well as asked the Committee for their recommendation on whether the Proposal should be presented to the Board of Supervisors.  The Committee generally provided positive feedback on Yolo Fliers Club's interim operation of the Wild Wings Golf Course and the Proposal, and unanimously recommended a contract be presented for consideration by the Board of Supervisors. 

For the past few months, the CSA Manager and County Counsel have engaged in negotiations with Yolo Fliers Club with the goal of agreeing on contractual terms.  During negotiations, the parties discussed the following structure for the golf course operation pursuant to the Proposal:  
  • Fiscal Year 2024-2025: During the first year, the County would contract separately with (1) Michael Facciuto for maintenance-related services; (2) Tim Pulley for pro shop services; (3) Yolo Fliers Club for consulting services related to the entire golf course operation; and (4) Express Services, Inc. for employment staffing services.  Additionally, during FY 2024-2025, the County would continue to do the accounting for the golf course. 
  • Fiscal Year 2025-2026 through Fiscal Year 2028-2029: During all years after the first year, the Proposal envisions a full-service contract between the County and Yolo Fliers Club.  Instead of the County having separate contracts with Michael Facciuto, Tim Pulley, and Express Services, Inc., these three entities would become sub-contractors of Yolo Fliers Club.  Yolo Fliers Club would also take over the accounting for the golf course operation and submit reports to the County for financial tracking. 
After discussing the four-contract structure proposed for Fiscal Year 2024-2025 in contract negotiations, the County entered into an agreement with Michael Facciuto on September 23, 2024 (Attachment D), and with Tim Pulley on September 26, 2024 (Attachment E).  The County encountered some delay in entering into a contract with Yolo Fliers Club due to an insurance issue: it took some time to find an insurer for a 9-hole public golf course.  After insurance was secured, the County and Fliers Club agreed on the draft contract terms appended in Attachment B.  The County separately negotiated with Express Services, Inc., and the draft employee staffing agreement (including a cost estimate for labor expenses for FY 2024-2025) is in Attachment C.  Upon approval of the Express Services, Inc. agreement, the County would terminate existing extra-help assignments related to the Wild Wings Golf Course from the County's payroll, and transition staffing decisions to Express Services, Inc.  All four of these contracts have terms through the end of the current fiscal year (June 30, 2025).

The County and Yolo Fliers Club plan to resume negotiations on a full-service contract in Spring 2025 after the parties have had a longer time to evaluate the proposed transition of full-management services to Fliers Club and the financial condition of the golf course.  In the meantime, both parties have reached an agreement regarding the four-contract structure proposed for the remainder of Fiscal Year 2024-2025, which will give the Wild Wings Golf Course much-needed stability.  To summarize, the four contracts are:

Since Michael Facciuto and Fliers Club began assisting the Wild Wings golf course earlier this year, the golf course has seen improved conditions of play, and in turn, a healthy increase in golf course revenues.  County staff, therefore, recommend that the Board of Supervisors approve the contracts with Yolo Fliers Club (Attachment B) and Express Services, Inc. (Attachment C) and ratify the agreements with Michael Facciuto (Attachment D) and Tim Pulley (Attachment E).  Given that the County would be responsible for the accounting related to the golf course operation for the remainder of Fiscal Year 2024-2025, County staff further recommend an exploration of whether accounting extra-help would be necessary.  County staff would not hire accounting extra-help unless the Wild Wings CSA golf fund budget allows for it.
