Adopt resolution authorizing Dignity Health (dba Woodland Memorial Hospital) to apply for a state grant to improve outdoor space within its leasehold on the St. John's Retirement Village property and approve a fifth amendment to Agreement No. 09-151 with Dignity Health to extend their operation of the Yolo Adult Day Health Center through June 30, 2024, with an option to extend for an additional year and an obligation to equally share documented program operating losses up to an amount payable by the County not to exceed $75,000 per fiscal year. Recommended Action

  1. Adopt resolution (Attachment A) authorizing Dignity Health (dba Woodland Memorial Hospital) to apply for a state grant to improve outdoor space within its leasehold on the St. John's Retirement Village property; and
     
  2. Approve and authorize the County Administrative Officer to sign a fifth amendment to Agreement No. 09-151 with Dignity Health to extend their operation of the Yolo Adult Day Health Center through June 30, 2024, with an option to extend for an additional year and an obligation to equally share documented program operating losses up to an amount payable by the County not to exceed $75,000 per fiscal year (Attachment B).

Reason for Recommended Action/Background

This item covers two matters relating to operation of the ADHC by Dignity Health: a fifth amendment to the current County/Dignity agreement covering operations of the ADHC; and a resolution authorizing Dignity to apply for a state grant to improve outdoor space at the St. John's campus in connection with its anticipated relocation to that site:

The Contract Amendment

In May 2016, the Board approved an amendment (Agreement No. 16-75) to the contract with Dignity Health to continue the operation of the Yolo County Adult Day Health Center (ADHC) for an additional year ending June 30, 2017, which was extended through June 30, 2018. In June 2018, the Board approved a second amendment (Agreement No. 18-101) to the contract with Dignity Health to continue their operation of the ADHC for an additional year ending June 30, 2019, which was then extended through June 30, 2020. In June 2020, the Board approved a third amendment (Agreement No. 09-151) to the contract with Dignity Health to continue their operation of the ADHC for an additional year ending on June 30, 2021, with the option to extend an additional year which was then extended to June 30, 2022. The contract provided that the County would share in the cost of operating losses for the ADHC up to a maximum of $150,000 per year. The contract was subsequently amended in June 2022 to extend the agreement through June 30, 2023, with a share of cost maximum for the County not to exceed $75,000.
 
County staff continues to work with Dignity to secure an expanded facility that would allow sufficient participation for the ADHC to maintain a balanced budget without any County funds. Since that effort is still underway, the fifth contract amendment (Attachment B) has been prepared for the Board of Supervisors' approval. The fifth amendment extends the contract for one fiscal year ending June 30, 2024, with an option to extend for an additional year. Under this contract amendment, the County and Dignity Health would equally share in documented program operating losses, with the amount payable by the County not to exceed $75,000 for a given fiscal year. In addition, the contract specifies that once an agreement regarding site location or renovation has been reached between the parties, Dignity Health will apply to change ownership of the operating license, which is currently held by the County.

The Grant Resolution

Because the County holds the license for operation of the ADHC, Dignity is required to obtain the Board's consent to apply for a state grant through the "Bridge to Recovery" program, administered by the California Department of Aging. If received, the grant funds would support improvements to outdoor spaces on the St. John's campus adjacent to the relocated ADHC in the Stollwood building. The attached resolution (Attachment A) would provide Dignity the needed authority to submit a grant application. In adopting this resolution, the County would not assume any obligations in connection with the grant.
