Recommended Action
- Approve second amendment to Agreement No. 20-304 with WSP Inc. (formerly Golder Associates) to extend the term and modify the rates for Design and Construction Quality Assurance (CQA) services for the Yolo County Central Landfill; and
- Authorize the Chair of the Board of Supervisors to sign the amendment.

Reason for Recommended Action/Background
On December 20, 2020, the Board approved the original agreement with WSP Inc. (formerly Golder Associates) to prepare designs and perform Construction Quality Assurance (CQA) services at the Yolo County Central Landfill (Landfill). Included in WSP's scope were the design of a landfill module (Waste Management Unit 7J) and a liquid surface impoundment (Waste Management Unit H4). Both designs have been completed and approved by the Central Valley Regional Water Quality Control Board. Waste Management Unit (WMU) 7J is currently out to bid with construction scheduled for spring/summer 2026. Construction of WMU H4 is scheduled to occur in the spring/summer of 2027.
During the construction phase of each project there is the possibility that questions and/or design modifications may be necessary. The Division of Integrated Waste Management (Division) will need the services of the engineer-of-record, WSP Inc., to assist with such questions and/or design modifications. The attached Second Amendment to Agreement No. 20-304 with WSP Inc. (Att. A) simply extends the original term of the agreement to cover the expected duration of the WMU projects. The amendment also includes an updated hourly rate sheet, as the original rate sheet was five years old. Sufficient funds remain under the original agreement to cover anticipated work during this 2-year extension; thus, there is no impact to the General Fund.

The second amendment to Agreement No. 20-304 extends the term and modifies the hourly rates but does not alter the maximum compensation, so there is no additional fiscal impact with this amendment for the Division of Integrated Waste Management. (No general fund impact)
