SUMMARY

Approval and acceptance of the proposed Release of Liability Agreement will provide resolution and settlement for the City’s claim of breach of a Professional Services Agreement.

RECOMMENDATION

ADOPT RESOLUTION NO. 2025-2457 APPROVING AND ACCEPTING THE TERMS OF A RELEASE OF LIABILITY AGREEMENT WITH IMAGETREND, LLC. (Roric Massey, City Attorney)

FISCAL IMPACT

Approval and acceptance of the proposed agreement will provide a payment to the City of $168,000 in settlement funds.

BACKGROUND AND PREVIOUS ACTIONS

The settlement stems from issues that occurred with the administration of the Professional Services Agreement over a period of time, and it was in the best interests of the City to recoup the monies owed for services rendered.

STAFF ANALYSIS

Staff recommends approving and accepting the Release of Liability Agreement attached as Exhibit “A” to Resolution 2025-2457 (included as attachment A) to resolve the City’s claim regarding the breach of the Professional Services Agreement and to facilitate the payment of $168,000 in funds due to the City.
