Approve a Memorandum of Understanding between Cochise County and the City of Douglas for non-exclusive commercial use of the Bisbee-Douglas International Airport for economic development purposes and a period of five years, renewable for successive five-years terms, effective upon full execution of agreement.

Background:

The Board of Supervisors heard a presentation from the City of Douglas regarding their interest in leasing BDI Airport in an effort to market and bring in economic development to the area. The BOS directed staff to work with the City of Douglas to establish some type of formal contractual relationship to that end.

The MOU County Staff developed and presented to the City outlines that the County is leasing property at BDI to the City for econ development purposes. The criteria for this development are included in the MOU. A couple of key points to note are even though the criteria for development are outlined, a future project or use must be approved by FAA and any agreements the City may develop must also be approved by the County. We left it that it could be approved administratively at the County in case there was a small short term project, but it is up to us to determine of BOS approval is necessary for projects/agreements. Either way, the County must respond within 60 days.
A few other things to note:
1. The MOU is for five years and may be renewed for additional five year periods upon mutual agreement of the parties.
2. If the County terminates the agreement, the County would pay fair market value of any improvements made by the City during the lease that the County wants to keep. The City would be responsible for the cost of removing improvements and restoring the property to its pre-lease state.
3. Any net revenue generated by the City (through this lease) is to be shared equally with the County.
4. The County reserves the mineral rights.
5. The MOU was approved by the Douglas City Council on 10/09/13.
