TITLE:

Consideration and Adoption of Resolution No. 2025-24:  A resolution of the Flagstaff City Council, approving an Amended and Restated Master Intergovernmental Agreement between the City of Flagstaff (City), Coconino County (County), Northern Arizona University (NAU), and the Coconino Community College District (CCC) for the support of the Northern Arizona Intergovernmental Public Transit Authority (NAIPTA) or Mountain Line.
 

STAFF RECOMMENDED ACTION:

  3. Adopt Resolution No. 2025-24

Executive Summary:

As directed by the Mountain Line Board of Directors in January 2025, Mountain Line staff and legal counsel drafted an Amended and Restated Master IGA to replace the existing 2013 Amended and Restated Master IGA and its single amendment.  In addition to making technical edits, the 2025 Amended and Restated Master IGA specifically addresses Mountain Line’s rights and authority to act as a property owner to contract with a developer for development of housing on Mountain Line owned property. Mountain Line is currently in an RFP process to explore potential housing opportunities on their property on Linda Vista.

In addition to making the changes recommended for these authorities, Mountain Line also incorporated the changes in the first (and only) amendment and cleaned up format to further improve the document.
 

 

Financial Impact:

There is no specific financial impact related to the adoption of the Amended and Restated Master IGA. 

Policy Impact:

The Flagstaff City Council declared a Housing Emergency through Resolution 2020-66 on December 1, 2020.  This change to the Master IGA aligns with the Housing Emergency declaration.  The 2025 Amended and Restated Master IGA specifically addresses Mountain Line’s rights and authority to act as a property owner, as recommended to conduct the proposed action to contract with a developer for development of housing on Mountain Line's property.  

Previous Council Decision or Community Discussion:

The original Master IGA was approved in March 2006.  On January 5, 2021, Council approved the first amendment to the IGA to clean up language related to risk and liability.  On May 7, 2013, Council approved an update to the Master IGA to allow for membership changes.   

Options and Alternatives to Recommended Action:

1. Adopt the Amended and Restated Master Intergovernmental Agreement as presented.
2. Do not adopt the Amended and Restated Master Intergovernmental Agreement.
 

Background and History:

The City of Flagstaff is currently a member of the Northern Arizona Intergovernmental Public Transportation Authority (NAIPTA) and operating under the name “Mountain Line” with Coconino County, Northern Arizona University and Coconino Community College. 

The goal of creating NAIPTA was to create a regional, collaborative approach to creating a comprehensive integrated Regional Transportation System that provides a seamless transition from various transportation modes while serving the transportation needs of the region efficiently and to advance transportation related projects. NAIPTA operates under a Master Intergovernmental Agreement (IGA).

When creating the original Master IGA in 2006, the purpose was to clarify the authority of Mountain Line and its Board of Directors. Throughout the years, the Master IGA has been amended to change membership, address liability and risk and modify authorities.  This Amended and Restated Master IGA is to capture all prior amendments to the Restated Master IGA and further amend the Restated Master IGA to addresses Mountain Line’s rights and authority to act as a property owner to contract with a developer for development of housing on Mountain Line owned property. Mountain Line is currently in an RFP process to explore potential housing opportunities on their property on Linda Vista.
