Approve ninth amendment to Agreement No. 22-135 with Willow Glen Care Center to add funding in the amount of $236,337 to fiscal year (FY) 2024-25, resulting in a new contract maximum of $7,036,055, for the agreement term of July 1, 2022 through June 30, 2026, and to increase optional fiscal year 2026-27 funding by $600,000 for the provision of mental health services, including board and care, psychiatric and mental health rehabilitation center (MHRC) residential facilities. The additional funds are required to support the anticipated increase in residential placement needs associated with the implementation of Senate Bill 43 (SB43) which expands conservatorpship eligibility and expanded service demand. Recommended Action

Approve ninth Amendment to Agreement No. 22-135 with Willow Glen Care Center to add funding in the amount of $236,337 to fiscal year (FY) 2024-25, resulting in a new contract maximum of $7,036,055, for the agreement term of July 1,2022 through June 30, 2026, and to increase optional fiscal year 2026-27 funding by $600,000 for the provision of mental health services, including board and care, psychiatric and mental health rehabilitation center (MHRC) residential facilities.

Reason for Recommended Action/Background

Willow Glen Care Center is a residential care facility that provides a less restrictive placement environment for conservatees, as compared to an Institution for Mental Disease (IMD). Their facilities are licensed by the Community Care Licensing Division of the California Department of Social Services. Willow Glen specializes in serving people with difficult behavioral problems, monitoring psychotropic medications, and providing a safe and supportive environment to help residents achieve their highest level of independent functioning.

On or about June 28, 2022, the County entered into Agreement No. 22-135 (Agreement) with Willow Glen Care Center with an initial term of July 1,2022 through June 30, 2025. Since that time, the agreement has been amended multiple times to add funding, update rates, and clarify language.  On or about May 20, 2025, the Agreement was amended via the seventh amendment to extend the term through June 30, 2026 and to add funding for FY2025-26. The Eighth Amendment added additional funding for FY2025-26. 

The final invoices for FY2024-25 were received in July 2025, but payment was delayed due to the contract amendment process.

The Eighth Amendment added additional funding for FY2025-26. At that time, the Eighth Amendment was in process to increase funds to cover the FY2024–25 invoices; however, the increase was insufficient to cover the FY2024-25 invoices.

A subsequent request to amend the agreement via this Ninth Amendment was initiated to add the additional funds needed to cover the full FY2024–25 invoices, but approval was delayed because funding was not available, and a budget resolution was required. As a result, the delay was due to the budget approval process.

This Ninth Amendment is required to increase Willow Glen’s contract for FY2024–25 to cover $236,337 in unpaid invoices. These costs resulted from final invoices being higher than projected, and the additional funds were inadvertently omitted from the Eighth Amendment. Approval of this Ninth Amendment will add funding necessary to pay outstanding invoices for FY2024-25.  These costs were accrued to FY2024-25.

The Option year funding for FY26-27 will increase from $1,400,000 to $2,000,000, an increase of $600,000.

Competitive Bid Process/Vendor Performance

On March 23, 2022, the then acting Yolo County Procurement Manager (Procurement Manager) approved a single source procurement for these services. The Procurement Manager reviewed HHSA’s request and determined that it was in the best interest of the County to approve the single source. Without the single source approval for services provided by Willow Glen Care Center, the County would lose the ability to place clients in appropriate levels of care.

Factors considered, included but were not limited to: 1) the County’s continued increase in utilization for services that support the stabilization of seriously mentally ill adults; 2) the proximity of Willow Glen Care Center – located in a neighboring county; 3) Willow Glen Care Center’s rates being fair and reasonable as compared to other private companies, and are an augmented Board and Care rate; and 4) that without the agreement with Willow Glen Care Center, the County would lose the ability to place consumers in a nearby facility. The County would be limited in its ability to identify and place consumers quickly into facilities offering an appropriate level of care, and in some cases would be unable to meet federally mandated standards regarding the provision of care for consumers.

HHSA confirms that Willow Glen Care Center is performing satisfactorily under this Agreement. Willow Glen Care Center provides services to the County’s most vulnerable clients and has been instrumental in establishing successful client–program relationships and supporting the stabilization of seriously mentally ill adults. Below are updated Performance Measures:

No general funds are required for this action. These services are funded by 1991 Mental Health Realignment. The action increases the contract maximum by $236,337 for a total of $7,036,055 for the contract term of July 1, 2022 through June 30, 2026. Any related funding will be included in the requested budget process for future fiscal years.
