Recommended Action
Approve agreement with RG Legacy II, LLC dba Pasadena Nursing Center in the amount of $1,139,676 for the period of April 1, 2025 through June 30, 2028 for the provision of 24-hour supervised clinical and nursing care services to long-term consumers with severe mental illness (SMI).

Reason for Recommended Action/Background
As the designated local Mental Health Plan (MHP) for Specialty Mental Health Services (SMHS), the County is mandated to provide consistent and quality care in secure residential settings, when deemed necessary, for the safety and stability of individuals with severe mental illness (SMI).
SMHS are more intense and complex services designed for individuals with serious mental health conditions. On April 1, 2025, the County issued four (4) Commitment to Pay Letters to Pasadena Nursing Center, with an initial start/admit date of April 1, 2025. Commitment to Pay Letters are meant for short-term use while a formal agreement is executed by Contractor and County. These letters were issued to Pasadena Nursing Center from Yolo County HHSA on an emergency needs basis for clients in critical condition with SMI requiring urgent immediate placement. This Agreement supersedes the four Commitment to Pay Letters and sets clear terms for ongoing services. Approving this Agreement will allow services to continue without disruption.
Pasadena Nursing Center is a fully licensed Skilled Nursing Facility (SNF), which offers long-term care services with the ability to provide constant and immediate response to high-need Yolo County Behavioral Health clients. Their programs are designed to attain the highest practicable physical, mental and psychosocial well-being of each resident in a timely and cost-effective manner. Currently, Yolo County contracts with several other residential care facilities throughout the state, but due to the limited number of available beds, coupled with many facilities unable or unwilling to admit clients with severe behavioral health challenges, Yolo County seeks to contract with Pasadena Nursing Center to increase capacity for non-acute clients in need of long-term care and support, resulting in shorter stays in costly inpatient psychiatric hospitals.

Competitive Bid Process/Vendor Performance
On April 24, 2025, County’s Deputy Director of GSD/Manager of Procurement/County Purchasing Agent (Purchasing Agent) approved a sole/single source procurement for these services, based on a determination the proposed costs are fair/reasonable and consistent with the cost of other social rehabilitation programs across the state. Furthermore, Pasadena Nursing Center has demonstrated the capacity and willingness to serve clients who would otherwise, be placed in state hospitals such as Napa & Metro, which represent the County’s highest-cost mental health service options. Without sole source approval, the County would be limited in its ability to identify and place clients quickly into facilities offering this appropriate level of care, and in some cases would be unable to meet federally mandated standards regarding the provision of care for consumers. Factors considered, included but were not limited to: 1) Pasadena Nursing Center is willing to accept behaviorally challenged clients languishing in inpatient hospital settings who are no longer acute but cannot be placed.; 2) Their programs are designed to attain the highest practicable physical, mental and psychosocial well-being of each resident in a timely and cost-effective manner.; 3) Pasadena Nursing Center price is fair and reasonable and reflective of the cost of other social rehabilitation programs across the state.

No general funds are required by this action. These services will be funded by 1991 Mental Health Realignment (MH Realignment). These funds are overseen by the California Department of Health Care Services (DHCS) at the state level, while Counties manage and deliver services locally in accordance with state regulations and local needs. The total amount of this action is $1,139,676 for the period of April 1, 2025, through June 30, 2028. The amount of $62,436 was included in the HHSA budget for FY 2024-25. The amount of $359,080 is included in the FY 2025-26 adopted budget. HHSA anticipates that the future fiscal years will be funded by the same funding source and amounts as in Fiscal Year 2025-26. The related funding will be included in the requested budget process for future fiscal years.
