Approve the updated Community Services Action Board (CSAB) by-laws to include alternate districts' voting rights when a district seat is vacant or absent to establish quorum.

The Yolo County Health and Human Services Agency, in partnership with the Community Services Action Board, is seeking to edit board by-laws to reflect a configuration that complies with statutory and regulatory requirements. (42 U.S.C. 9910). The by-laws currently state that CSAB should seat three district representatives, three low-income representatives, and three private organization or community-based representatives, for a total of nine. This update authorizes the identification of Alternate Representatives. Alternate Representatives may attend all meetings of the Community Services Action Board. An Alternate Representative shall be authorized to vote when formally identified by the chair or vice chair during roll call (or at the time the substitution occurs) and seated in place of an absent District Representative to achieve quorum. The Alternate Representative shall serve in substitution for that District Representative that is vacant or absent for the duration of the meeting, or until the District Representative is seated. When seated, the Alternate Representative shall exercise full voting authority for that specific meeting as the sole voting representative for that seat and shall be counted toward quorum for that seat. The substitution and the seat represented shall be reflected in the minutes of the meeting.

This Alternative District Representation has been accepted and pre-approved by the funding agency (Community Services Department), and all CSAB members are in agreement. This updated configuration would improve overall board efficiency and still accurately represent the target population of Community Services Block Grant (CSBG) funds.

The updated bylaws have been reviewed and approved by Yolo County Counsel to ensure the CSAB bylaws remain current and fully compliant with all applicable federal, state, and local laws and regulations, and continue to reflect the best practices in governance for representation, membership, officers, conflict of interest and updated procedural verbiage.
